Terms of Service

These Terms are the general terms for the Vitale Health platform and may be updated. Please review them carefully each time you use the Service. They include a binding arbitration provision and a class-action waiver (Section 14) that affect how disputes between you and us are resolved.
These Terms of Service (“Terms”) govern your access to and use of the Vitale Health website, applications, and related services (collectively, the “Service”) operated by Vitale Health, Inc. (“Vitale Health,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of another person, you represent that you are authorized to accept these Terms on their behalf.
1. About the Service and our role
Vitale Health operates a technology and administrative platform that connects you with independently licensed clinicians and with licensed pharmacies. Vitale Health is not a medical practice, pharmacy, or insurer, and does not itself practice medicine or dispense medication. Clinical services are provided by independent clinicians (and any affiliated professional entities) who are solely responsible for their own professional judgment and the care they provide. Medications are compounded and dispensed by licensed pharmacies. See our Medical Disclaimer and Telehealth Consent.
2. Acceptance of Terms
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Telehealth Consent, our Medical Disclaimer, and our Refund & Shipping Policy, each of which is incorporated by reference. If you do not agree, do not use the Service.
3. Eligibility and state availability
You must be at least 18 years of age and a resident of, and physically located in, the United States to use this Service. By using the Service, you represent and warrant that you meet these requirements and that the information you provide is accurate, current, and complete. The Service is not available in every state, and the availability of specific clinicians, products, or treatments varies based on your location and applicable law. A treatment that is available to one member may not be available to you.
4. Account registration and security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information, to keep it up to date, and to notify us promptly at support@vitalehealth.shop of any unauthorized use of your account. Do not share your account or use another person's account. We reserve the right to suspend or terminate accounts that contain false information or that are used in violation of these Terms.
5. Electronic communications and consent (E-SIGN)
The Service is provided primarily through electronic means. By creating an account or submitting an intake, you consent to receive communications, agreements, disclosures, notices, and records from us, the clinicians, and the pharmacy electronically — including by email, text message, secure in-app messaging, and postings on the Service — and you agree that electronic delivery satisfies any legal requirement that such communications be in writing. You may receive transactional messages about your account, care, prescriptions, and orders; these are necessary to provide the Service. Standard message and data rates may apply to text messages. You may opt out of optional marketing messages at any time by following the unsubscribe instructions or replying STOP to texts; you cannot opt out of essential transactional communications while you maintain an account. To request paper copies or withdraw consent to electronic communications, contact support@vitalehealth.shop; withdrawing consent may prevent you from using the Service.
6. Medical services and prescriptions
Telehealth services made available through the Service are provided by independently licensed clinicians who are solely responsible for the medical services they provide. Vitale Health does not practice medicine and does not interfere with the independent clinical judgment of these clinicians. Completing an intake or paying a fee does not guarantee that you will be prescribed any product. A clinician may determine, in their sole professional judgment, that the Service is not appropriate for you and may decline to prescribe, may recommend an alternative course of care, or may direct you to be seen in person. No clinician-patient relationship is formed by browsing the site; review the Medical Disclaimer and Telehealth Consent for important details.
The Service is not for emergencies. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately.
7. Orders, fees, and payment
When you submit an intake, you authorize us to charge the payment method on file for the applicable telehealth visit fee, which covers the licensed clinician's review. If a clinician approves treatment, you will be billed for the prescribed products, generally via an invoice we email to you and a charge to the payment method on file. Prices are presented at the point of purchase before you are charged and are subject to change. You are responsible for all charges incurred under your account and for keeping a valid payment method on file. All fees are stated in U.S. dollars. Refund and shipping terms are described in our Refund & Shipping Policy. You agree not to initiate a chargeback or payment dispute for a charge you authorized without first contacting us to resolve the issue.
8. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law;
- Provide false, misleading, or fraudulent information, including medical information;
- Resell, redistribute, share, or transfer any medication or product obtained through the Service to any other person;
- Attempt to gain unauthorized access to the Service, other accounts, or our systems, or probe, scan, or test the vulnerability of the Service;
- Use any automated means (bots, scrapers) to access the Service or collect information from it without our written permission;
- Interfere with or disrupt the integrity or performance of the Service or its data, or introduce malware.
9. User content and feedback
You retain ownership of information and content you submit through the Service. You grant us a limited license to use that content as needed to operate the Service and provide your care, consistent with our Privacy Policy. If you send us suggestions or feedback, you grant us a perpetual, royalty-free license to use them without obligation to you.
10. Intellectual property
The Service and its content, features, and functionality are owned by Vitale Health or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from the Service without our prior written consent.
11. Third-party services and links
The Service relies on third parties (including payment processors, pharmacies, shipping carriers, and infrastructure providers) and may contain links to third-party sites. We are not responsible for the content, products, or practices of third parties, and your use of their services is governed by their own terms and privacy policies.
12. Disclaimers
Except as expressly provided and except for the independent clinical services provided by licensed clinicians, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free. No advice or information obtained from the Service creates any warranty not expressly stated in these Terms.
13. Limitation of liability
To the maximum extent permitted by law, Vitale Health and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Service. To the maximum extent permitted by law, our total liability for all claims relating to the Service will not exceed the greater of the amount you paid to Vitale Health in the twelve months before the event giving rise to the claim or one hundred U.S. dollars ($100). Nothing in these Terms limits liability that cannot be limited under applicable law (including liability for gross negligence, willful misconduct, or personal injury where the law prohibits such limits), and these limitations do not apply to the independent clinical services provided by licensed clinicians. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
14. Dispute resolution and binding arbitration
Please read this section carefully — it affects your legal rights. Most concerns can be resolved quickly. Before starting an arbitration, you agree to first contact us at support@vitalehealth.shop and give us 30 days to resolve the dispute informally.
If we cannot resolve a dispute informally, you and Vitale Health agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (excluding the independent professional clinical services of your clinician) will be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small-claims court.
You and Vitale Health waive the right to a jury trial and agree that claims may be brought only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims. If this class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will be severed and may proceed in court.
Your right to opt out: You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing support@vitalehealth.shop with your name and a statement that you wish to opt out of arbitration. Opting out will not affect any other part of these Terms. This Section is governed by the Federal Arbitration Act and survives termination of these Terms.
15. Indemnification
You agree to indemnify and hold harmless Vitale Health and its affiliates from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.
16. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may stop using the Service and close your account at any time by contacting us. Provisions that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive. We will retain your medical records as required by law as described in our Privacy Policy.
17. Changes to the Service and these Terms
We may modify, suspend, or discontinue all or part of the Service at any time. We may also update these Terms from time to time. When we make material changes, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
18. General
These Terms, together with the policies incorporated by reference, are the entire agreement between you and Vitale Health regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for any failure or delay caused by events beyond our reasonable control. These Terms are governed by the Federal Arbitration Act, applicable federal law, and the laws of the State in which Vitale Health, Inc. is organized, without regard to conflict-of-laws principles. Subject to Section 14, any dispute not subject to arbitration will be resolved in the state or federal courts located in that jurisdiction.
